What to do if a friend of ours wants my wife and I to adopt her soon to be born baby?

The father plans on terminating his parental rights. She would like to list me on the birth certificate so I can be the father and then my wife can eventually adopt her so she can be the legal mother. She is in another state. Would it work to do it this way?

Before you proceed further you and your spouse need to consult with a family law attorney as to what you want to do concerning a possible adoption of a baby. From what you have written, your desire will not work. You will need to have written adoption agreements signed by the parents willing to give up their child for adoption and go through a court process with a hearing and order for the adoption to be completed.
