Was an agreement with a group to find capital for a business enterprise. They never returned a signed copy, and we were told verbally they could not perform due to a pending lawsuit that arose after the contract was signed by me. They never returned the signed agreement.

Under the laws of all states in this country, there can be oral or written agreements. In your case you are writing about a written proposal (offer) that was never signed by the other party that you sent for venture capital.

Since the written agreement that you sent to the other side who you wanted funding from, and since they verbally advised you that the funding would not happen, you have no binding agreement for what you desire absent a signed agreement in hand.
