llc vs pllc
Question Details: We are three architects that would like to start our own firm. We know what llc and pllc are but we would like to know what is the most convenient for us to use for an architecture firm. thanks
Hello. I am a Maryland barred attorney and regularly assist small business start-ups. The licensing laws in this state allow architects to practice through either a LLC or corporation. The distinguishing feature of a professional services entity (PC, PA and/or PLLC) is that ownership is strictly limited to members of your profession. While the laws regarding professional corporations in this state contain many operating restrictions, the LLC Act affords much greater flexibility.
Note that the law requires a minimal amount of information to be publically filed to create a LLC. Structuring your entity in a way most convenient and flexible for your specific needs will involve crafting appropriate provisions in your governing documents (bylaws or operating agreement, depending on entity type). You may want to get specific counsel before moving forward. While not legal advice, I hope this post points you in the right direction.
