Question Details: I had an LLC company that went out of business several years ago. Sold whatever assets were left, not much really, and closed. Now a summons appears for a past food of $3200. The LLC is has been nothing and has had nothing to this day. I am pretty sure I did not sign a personal guarantee. How shoud I go about the answer and/or dealing with this summons?
I am a lawyer in CT and practice in this area of the law. I suggest that you hire a lawyer to write a letter indicating that the LLC is dissolved and is no longer in business and has no assets to satisfy the claimed amount. If you ignore the lawsuit, a judgment will enter and as long as you are not personally on the hook, the creditor will not be able to collect any money. if you would sleep better at night knowing this is no longer kicking around, then offer to pay $1,000.00 to buy peace of mind and have the case withdraw/settled.
